Terms and Conditions of Qreativa services

These Terms and Conditions govern the provision of advertising and marketing services by Qreativa (hereinafter referred to as the “Provider”) to the client purchasing or subscribing to the service (hereinafter referred to as the “Client”).

By purchasing, subscribing to, or activating any service provided by Qreativa, the Client confirms that they have read, understood, and accepted these Terms and Conditions in full.

1. Scope of Agreement

1.1 Under this Agreement, the Client appoints the Provider to deliver advertising, marketing, and creative services as described in the Scope of Work outlined below.

1.2 The Provider shall perform the services using its own organizational structure, resources, expertise, and operational methods, and will execute the work independently while maintaining professional standards and industry best practices.

1.3 The Provider undertakes to deliver the services with professional diligence and technical competence consistent with industry standards.

2. Scope of Work

The services provided by Qreativa include the strategic planning, creative development, and management of paid advertising campaigns primarily on Meta (Facebook & Instagram) and TikTok platforms.

The service may include the following activities:

Strategy & Campaign Planning

  • Discovery call to understand the Client’s business model, goals, and target audience

  • Analysis of available marketing materials and past advertising performance (if available)

  • Definition of campaign objectives and positioning

  • Development of advertising strategy tailored to Meta and TikTok platforms

Asset Collection & Brand Alignment

The Client may provide relevant materials including:

  • Creative assets

  • Brand guidelines

  • Product or service information

  • Landing pages or offers

  • Previous advertising creatives

These materials may support campaign development but are not mandatory.

Creative Strategy & Concept Development

Qreativa develops advertising concepts designed to maximize engagement and conversions through:

  • Creative brainstorming

  • Identification of effective hooks and messaging frameworks

  • Development of storytelling angles and campaign concepts

Storyboards & Creative Direction

Before production, the Provider may prepare:

  • Creative outlines

  • Messaging frameworks

  • Storyboards

  • Hook and CTA concepts

Creative Production

Qreativa handles the internal production of advertising creatives including:

  • Ad scripting

  • Graphic design

  • Video editing and production

  • Motion graphics

  • Captioning and formatting

  • Platform-specific optimization

Creative formats may include:

  • Video ads

  • Static image ads

  • Short-form vertical content

  • UGC-style ads

  • Conversion-focused creatives

Campaign Setup & Launch

Campaign setup includes:

  • Campaign structure development

  • Audience targeting and segmentation

  • Budget allocation

  • Ad placement configuration

  • Pixel and tracking setup where applicable

  • Launch of campaigns on Meta Ads Manager and TikTok Ads Manager

Testing & Optimization

Campaign management includes:

  • A/B testing of creatives, messaging, and audiences

  • Performance analysis

  • Budget reallocation toward high-performing campaigns

  • Creative iteration and optimization

  • Scaling of winning campaigns

3. Advertising Platform Access

To perform the services described above, the Client agrees to provide the Provider with the necessary access to relevant advertising platforms.

These may include:

  • Meta Business Manager

  • Meta Ads Manager

  • TikTok Business Center

  • TikTok Ads Manager

By accepting these Terms and Conditions, the Client:

  • Authorizes Qreativa to manage advertising campaigns on their behalf

  • Grants the Provider partner or administrative access to the necessary advertising accounts

  • Confirms they have the authority to grant such permissions.

The Client retains full ownership of their advertising accounts and assets.

4. Advertising Budget (Media Spend)

Advertising budgets paid to platforms such as Meta or TikTok are not included in the service fee.

These costs must be paid directly by the Client to the advertising platforms.

The Provider manages campaigns but does not control the billing systems of advertising platforms.

5. External Production Costs

The following costs are not included in the service unless explicitly agreed in writing:

  • Fees for UGC creators

  • Influencers

  • Actors or external talent

  • Third-party production services

Such costs will be quoted separately and require prior approval from the Client.

6. Fees and Payment Terms

6.1 The Client agrees to pay the service fees indicated during the purchase or subscription process.

6.2 Payments are processed through the subscription billing system selected by the Provider.

6.3 In the event of unpaid invoices or failed payments, the Provider reserves the right to suspend services until payment is completed.

7. Subscription Model & Cancellation

Qreativa services are provided under a subscription-based model with no minimum commitment and no cancellation penalties.

The Client may cancel the subscription at any time.

Cancellation can be completed directly through the subscription management page using the same email address used for the subscription.

Once the subscription is canceled, no further billing cycles will occur after the current billing period.

The service will remain active until the end of the already paid billing period.

8. Limitation of Liability

The Provider shall not be held liable for disruptions, interruptions, or damages caused by circumstances beyond its control, including but not limited to:

  • Platform outages

  • Advertising platform policy changes

  • Technical issues with third-party services

  • Force majeure events

The Provider does not guarantee specific advertising results, including but not limited to leads, sales, or return on investment.

To the maximum extent permitted by law, the Provider’s liability shall not exceed the total amount paid by the Client for the services.

9. Intellectual Property

All internal methodologies, strategies, frameworks, advertising structures, and operational processes developed by the Provider remain the exclusive intellectual property of Qreativa.

The Client retains ownership of all materials provided to the Provider, including but not limited to:

  • Logos

  • Images

  • Videos

  • Brand assets

  • Text content

  • Marketing materials

The Client guarantees they have the legal rights to use such materials.

10. Confidentiality

Both parties agree to maintain strict confidentiality regarding any proprietary or sensitive information shared during the collaboration.

Confidential information shall not be disclosed to third parties unless required for the execution of the services or required by law.

11. Subcontracting

The Provider may engage third-party collaborators or contractors to assist in delivering the services.

However, the Provider remains fully responsible for the proper execution of the services.
